Terms & Conditions

Allgemeine Geschäftsbedingungen – AGB

These Terms & Conditions apply to all services provided by Pauze.

1. Scope of Services

Services may include but are not limited to:

  • Social Media Management

  • Brand & Content Strategy

  • UGC Creation

  • Brand & Website Setup

The exact scope of work is defined in the individual contract or proposal.

Any services not explicitly included in the agreed scope will be considered additional work and billed separately.

2. Contract Formation

A binding agreement is formed once:

  • A written contract is signed by both parties, or

  • A proposal is accepted in writing via email.

Verbal agreements are not legally binding unless confirmed in writing.

3. Payment Terms

  • A 30% non-refundable deposit is required at the start of the project, payable upon contract signing.

  • The remaining 70% is due upon completion of the project, unless otherwise agreed in writing.

  • Work will not commence until the initial payment has been received.

Invoices are payable within 7–14 days unless otherwise stated.

Failure to make timely payments may result in immediate suspension of services without liability on the part of Pauze.

In the event of late payment, statutory interest and reminder fees may be charged in accordance with German law (§ 288 BGB).

4. Client Responsibilities

The client agrees to:

  • Provide necessary materials, approvals, and information in a timely manner

  • Ensure all provided materials comply with copyright and trademark laws

  • Respond to feedback requests within agreed timelines

Delays caused by the client may result in project timeline extensions without penalty to Pauze.

Pauze shall not be held responsible for delays resulting from incomplete or inaccurate client information.

5. Revisions

The number of revisions included in each service package is defined in the contract.

Additional revisions beyond the agreed scope will be billed at an hourly rate or separate fee.

6. Intellectual Property

Ownership of final deliverables transfers to the client only after full payment has been received.

Until full payment is made, all deliverables remain the intellectual property of Pauze.

Pauze retains the right to:

  • Display completed work in portfolios

  • Use work for promotional purposes

Unless otherwise agreed in writing.

7. Limitation of Liability

Pauze is not liable for:

  • Indirect damages

  • Loss of profits

  • Loss of business opportunities

  • Platform algorithm changes

  • Third-party platform outages

  • Performance fluctuations beyond reasonable control

Marketing results, engagement metrics, reach, or revenue increases cannot be guaranteed.

Liability is limited to cases of intent or gross negligence, in accordance with applicable German law.

8. Confidentiality

Both parties agree to treat all confidential information shared during the collaboration as strictly confidential and not disclose it to third parties without written consent.

9. Force Majeure

Pauze shall not be held liable for failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to illness, technical failure, internet outages, governmental restrictions, or force majeure events.

10. Termination

Either party may terminate the agreement in writing.

If terminated:

  • The 30% deposit remains non-refundable.

  • Work completed up to the termination date will be invoiced proportionally.

If termination occurs after work has commenced, Pauze reserves the right to invoice for all completed hours and committed resources.

REFUND POLICY:

Due to the nature of digital marketing, strategy, and creative services, refunds are handled as follows:

1. Deposits

The 30% deposit is strictly non-refundable, as it secures project scheduling, planning, research, and preparation.

2. Completed Work

Once services have been delivered or work has been completed, refunds are not granted.

Digital services and strategic work are considered delivered once files, strategy documents, or campaigns have been shared with the client.

3. Early Termination

If a client terminates a project before completion:

  • The deposit remains non-refundable.

  • Work already completed will be invoiced proportionally.

No refunds will be issued for partially completed work.

4. Dissatisfaction

If concerns arise, Pauze commits to addressing feedback professionally and offering revisions within the agreed scope.

Refunds will not be issued based on subjective preference once agreed deliverables have been provided in accordance with the contract.
